2. Description of Service

Marginate is a web-based application that helps users track buying and selling activities, manage expenses, and calculate profits. The Service is provided as a tool for personal record-keeping and information organization purposes only.

NOT FINANCIAL ADVICE: Marginate is NOT a financial advisory service. We do not provide financial, tax, legal, investment, or accounting advice. The calculations, reports, and information provided by the Service are for informational purposes only and should not be relied upon for making financial decisions. You should consult with qualified professionals for financial, tax, and legal advice.

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your information to keep it accurate
  • Keep your password secure and confidential
  • Accept full responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized access or security breach

Cancellation: You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. No refunds will be provided for partial billing periods.

You retain ownership of any data, content, or information you submit to the Service ("User Content"). By submitting User Content, you grant us a limited, non-exclusive license to store, process, and display it solely for the purpose of providing the Service to you.

You are solely responsible for:

  • Maintaining your own backups of User Content
  • Ensuring you have all necessary rights to submit your User Content
  • Any decisions made based on data or calculations from the Service

  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR CALCULATIONS

WE DO NOT WARRANT THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE. YOU ACKNOWLEDGE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MARGINATE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • ANY DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICE
  • ANY DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
  • ANY DAMAGES RESULTING FROM ERRORS, INACCURACIES, OR OMISSIONS IN THE SERVICE
  • ANY DAMAGES RESULTING FROM YOUR RELIANCE ON ANY INFORMATION PROVIDED BY THE SERVICE
  • ANY FINANCIAL LOSSES OR DAMAGES ARISING FROM DECISIONS MADE BASED ON SERVICE DATA

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED POUNDS (£100).

THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, INCLUDING CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Indemnification

You agree to defend, indemnify, and hold harmless Marginate and its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your use of and access to the Service
  • Your violation of these Terms
  • Your violation of any third party rights, including intellectual property rights
  • Your User Content
  • Any decision made or action taken based on information provided by the Service

10. Service Modifications and Termination

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. You are responsible for exporting any data you wish to retain before your account is terminated.

11. Data and Security

While we implement reasonable security measures to protect your data, we cannot guarantee absolute security. You acknowledge that:

  • No method of electronic transmission or storage is 100% secure
  • You are responsible for maintaining backups of your important data
  • We are not liable for any unauthorized access to or loss of your data
  • Data is transmitted and stored using standard security protocols (SSL/TLS)

12. Intellectual Property

The Service, including its design, features, code, logos, and content (excluding User Content), is owned by Marginate and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works without our express written permission.

13. Third-Party Services

The Service may contain links to third-party websites or services that are not owned or controlled by Marginate. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be liable for any damage or loss caused by your use of such third-party services.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

You agree to attempt to resolve any dispute informally by contacting us before initiating any formal legal proceedings.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.

16. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Marginate regarding the use of the Service and supersede all prior agreements, representations, and understandings.
